1. Acceptance of Terms

By accessing or using the Remis platform ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of these terms, you may not access the Service.

2. Description of Service

Remis is a project and purchase order management platform designed for contractors and teams. The Service provides tools for project tracking, purchase order management, payment processing, and team collaboration through Discord integration.

3. User Accounts

To use certain features of the Service, you must register for an account. You agree to:

• Provide accurate, current, and complete information during registration
• Maintain and promptly update your account information
• Maintain the security of your password and accept all risks of unauthorized access
• Notify us immediately if you discover any security breaches or unauthorized use

4. Contractor Obligations

As a contractor using the Service, you agree to:

• Deliver work according to the specifications outlined in purchase orders
• Meet deadlines as agreed upon in project assignments
• Maintain confidentiality of project information and sign required NDAs
• Provide accurate payment information for receiving compensation
• Communicate professionally with team members and administrators

5. Intellectual Property

Work product created under purchase orders becomes the property of the commissioning party upon payment, unless otherwise specified in writing. You retain ownership of any pre-existing intellectual property and tools you bring to a project.

6. Payment Terms

Payments for completed work will be processed according to the terms specified in each purchase order. The platform facilitates payment tracking but is not responsible for payment processing delays from third-party payment providers.

7. Prohibited Conduct

You agree not to:

• Use the Service for any unlawful purpose
• Share your account credentials with others
• Attempt to gain unauthorized access to other accounts or systems
• Interfere with or disrupt the Service or servers
• Transmit viruses, malware, or other malicious code
• Harass, abuse, or harm other users

8. Termination

We may terminate or suspend your account immediately, without prior notice or liability, for any reason, including breach of these Terms. Upon termination, your right to use the Service will cease immediately. Outstanding payments for completed work will be processed according to the terms of applicable purchase orders.

9. Disclaimer of Warranties

The Service is provided "as is" and "as available" without any warranties of any kind, either express or implied, including but not limited to the implied warranties of merchantability, fitness for a particular purpose, or non-infringement.

10. Limitation of Liability

In no event shall Remis, its directors, employees, partners, agents, suppliers, or affiliates be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses.

11. Changes to Terms

We reserve the right to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.
